DM-INNOVATION

Strategic company development · Turnaround · M&A

We turn companies at a breaking point into investable companies.

Together with financial investors we acquire companies in distress and renew them completely: strategy, product, operations and finances. The renewed company is then handed to a strategic investor, which is when the financial investor exits.

Value curve: buyout at the low point, renewal, investability, exit Enterprise value 01 Buyout 02 Renewal 03 Investable 04 Exit

The model

Origination first, then four steps to the exit

Everything starts with finding the right deal. After that, the financial investor brings capital and we lead the rebuilding of the company. The strategic investor then sees a company that is in order, transparent and able to grow, and that fits into its own value chain. That is where the return comes from.

00 The most important step

Deal origination: where the real value is created

Every deal starts here, and this is the step most investors are least willing to pay for. At an early stage the opportunity is hard to see. Either the technical content is difficult to judge, or the financials show no future, so a classic NPV calculation finds nothing to value.

What is missing is a holistic view: one that sees the new directions in which a business or a project can be worth something entirely different later. That is the view we bring, and we commit to the opportunity before anyone else does.

  • finding companies and projects that others pass over
  • translating technical content into business value
  • seeing the future value a classic NPV calculation misses
  • shaping the deal and bringing in the first investor
01

Buyout

We enter the company at its turning point alongside an early-stage financial investor.

  • rapid due diligence and valuation
  • transaction structure
  • creditor and tax-authority settlements
02

Renewal

As an operating partner we lead the full renewal from inside the company.

  • sales and market
  • products and services
  • processes, systems, measurability
03

Investability

We assemble the company so a strategic investor can quickly understand and price it.

  • equity story and business plan
  • KPIs and financial model
  • data room, clean legal and financial picture
04

Exit & M&A

We find the strategic investor and run the transaction.

  • sourcing acquirers and targets
  • negotiation, term sheet, SPA
  • exit for the financial investor

How we renew a company

Three strategic fields, developed side by side

A company's problem rarely sits in one place. We break the situation down into three large strategic fields and develop all three until the business is able to grow again and can prove it in numbers.

1

Sales

Who we sell to, what, at what price and through which channel.

  • mapping market needs and buying decisions
  • PR, marketing and sales as one chain
  • pricing model
2

Products & services

What the company offers, and why clients choose it over competitors.

  • a precise definition of the product and service range
  • competitiveness assessment
  • creating new products and services
3

Processes & systems

How the company runs day to day, and how we know it runs well.

  • putting operating processes in order
  • systems that support those processes
  • measurability: KPIs and management reporting

What we are doing right now

The company's name stays confidential until the transaction closes. Investors can request a presentation under NDA.

Buyout and full renewal of a Hungarian B2B company on the brink of insolvency

The company had a working client base and real expertise, but an unsustainable financial position. With an early-stage financial investor we bought it out and are rebuilding the entire operation, so that a strategic investor sees an entirely different prospect.

  1. SituationClose to insolvencyAccumulated debt, but valuable clients and know-how.
  2. BuyoutTogether with an early-stage financial investorChange of ownership and the start of debt settlement.
  3. NowFull renewalRebuilding strategy, product, operations and financial order.
  4. GoalStrategic investor in, financial investor outAn M&A process with the renewed company.

Who we work with

Three parties, one transaction

The same three parties meet in every project we run. Success means something different to each, and we understand all three sides.

Financial investors

Enter at the low point, exit from a renewed company

  • screened and priced entry opportunities
  • an operating partner inside the company, not just an adviser
  • an exit route planned from day one
Strategic investors

Acquisition targets that are in order and transparent

  • a clean financial and legal picture, data room
  • clients and know-how that fit your value chain
  • an organised, fast M&A process
Business owners

A way out when the company is worth more than its situation

  • a discreet, fast first assessment
  • buyout or equity raise with investors
  • succession and preparing the company for sale

What we believe

Innovation ≠ profit

A good idea or a good team does not make a company profitable on its own. Successful companies understand how their industry, their clients' needs and their buyers' purchasing decisions are changing, and shape their operations around that.

That is why a turnaround with us does not start with cost cutting. It starts with the question of who this company is worth money to, and why. We build the answer into the strategy, the product and the numbers, because that is what a strategic investor buys.
